NRG Energy Extends Tender Offer Deadline, Raises Maximum Tender Amount to $620 Million

NRG Energy, Inc. has announced an extension to the early tender date for its tender offer to purchase its outstanding senior notes. The energy company has increased the maximum tender amount and extended the withdrawal date for the offer.

The initial early tender date of November 20, 2023, has been extended to November 22, 2023, allowing holders of the senior notes additional time to participate in the offer. Along with the extension, the withdrawal date has also been extended to the same date. NRG Energy has increased the maximum tender amount from $600 million to $620 million, providing more opportunities for investors to tender their notes.

Holders of the senior notes who have already tendered their notes prior to the original early tender date are not required to re-tender. They will still be eligible to receive the applicable total consideration. However, those who have already tendered their notes have the option to withdraw them prior to the extended withdrawal date in accordance with the terms and conditions of the offer.

Investors who validly tender their notes before the extended early tender date will be eligible to receive the applicable total consideration, including the early tender payment. Those who tender their notes after the extended early tender date but before the expiration date will only be eligible for the applicable tender offer consideration. Interest on the principal amount of notes accepted for purchase will be paid by NRG from the most recent interest payment date to the applicable settlement date.
